A company is dissolved by order of a Tribunal, i.e. National Company Law Tribunal (NCLT), after the completion of its winding-up process. Under Section 302 of the Companies Act, 2013, when the affairs of a company have been completely wound up, the Company Liquidator shall make an application to the Tribunal(NCLT) for the dissolution of such company. The company's dissolution brings its existence to an end, and its name is struck off from the records by the Registrar of Companies.
