Legal grounds for invalidating guarantee
Among the following grounds, which can be considered legally valid for invalidating the guarantee, and which are likely to be taken cognizance of by the DRT? 1. Loan sanction and subsequent renewals were based on forged and uncertified photocopies of balance sheets, without any verification from the chartered accountant. 2. Guarantor was not informed of changes in the Borrower’s partnership structure, nor provided any documents containing the name of partners, and his signatures were obtained on a new guarantee agreement under the pretext of COVID loan. 3. Borrower’s status was altered from partnership to proprietorship in the Bank’s core banking system, and once a sanction letter was also issued in the proprietor’s name. 4. The Credit Facility was renewed even after the guarantor had formally revoked his continuing guarantee. 5. Despite a significant decline in the Borrower’s financial position and internal credit rating, the Guarantor was not notified, contrary to the Bank’s written commitment to keep him informed of material adverse changes. 6. The Borrower’s account was not classified as NPA despite non-submission of stock statements for seven consecutive months, well beyond the three-month RBI limit. 7. The Credit Facility was renewed after 2.5 years, a delay of 1.5 years, due to non-submission of financial statements by the Borrower, exceeding the six-month RBI threshold. 8. The Bank failed to verify primary security (stock and debtors) as required under the sanction terms as evidenced from non submission of itemized details of stocks and debtors by the Borrower. This has resulted in stock expiry and primary security becoming worthless. 9. Bank failed to verify reported sales, evidenced by: a. Non-submission of GST statements by the Borrower, in violation of sanction terms. b. Reported sales exceeds account debits in 90% of the months, against the sanction terms. 10. Loan repayments were made by the Borrower to family members which the Bank did not object to, in violation of sanction conditions.
