But how anyone will convince 2nd partner to make llp, if he is not willing/ may be frightening?

If one is not interested in LLP then you can tell the advantages and plus points if stay togethr.
In spite of that he/she is not convinced better to leave and break the partnership and do something else,

A.LLP is a separate legal entity and can hold assets in its name. The status of Partnership Firm does not have separate identity from its Partners. The liability of Partners is limited to the extent of their contribution in LLP. Further, one Partner is not affected or not held liable for the actions of another Partner. You can ask your business partner to contact me. Maybe I can help her/him to understand the advantages of LLP over partnership

A.Your query is incomplete and more information would have helped. Anyways. the very essence of a partnership is to have trust and understanding between the partners. Hence, if the other partner is not agreeing then there is nothing you can do. But you can try to tell him the benefits of going ahead.
