I wanted to know the step by step procedure for doing so and if we get the consent letter signatures is it not enough to for the power attorney and for by-laws. Do we need to again get signatures from all for the power of attorney and for by-laws as well? Doesn’t consent letter signatures serve the purpose ?

You need to approach a local lawyer who is dealing in such matters and seek guidance on the matter. Talking about PoA and consent letter will not solve the purpose. You need to have an association/society formed first then anything else.
