Best Structure of the company

How do I structure the company? Me and my friend want to establish a company to diversify our portfolio and invest in stocks, bonds, gold etc.. ACROSS THE WORLD. Now, there are some other friends too who would want to invest into our company in future. But we don't want to act like a traditional asset management firm but would only allow partners to invest with us.
So, I was thinking, the company will be structured as such:
Limited Partnership, if someone else wants to invest with us, he has to first register as a partner and then invest into our company , we will handle their money. Something like a "proprietary investment firm" so that we don't have to register with SEBI.
A.If a company is formed with the object of investment in stock, bonds etc or for any other financial transactions promoting person of the said company has to register their company with ROC and regularly body SEBI.
The same principle is applicable on LLP firm too because of their nature of venture.
