Can there be multiple SPVs owning a single Real Estate property Can there be multiple SPVs owning a single Real Estate property

We're thinking of a Startup based upon Fractional Ownership on Real Estate Properties, I had the query whether there can be multiple SPVs owning a single property so, we can cross the upper limit of 200 shareholders and can have like 1000 shareholders in a single property using 5 SPVs owning the property, that will lower the ticket size of investors.

A.Dear Client,
Legal and Regulatory Framework: In India, the Companies Act, 2013 and other relevant regulations govern the formation and operation of companies and SPVs. While there is a limit on the number of shareholders for private companies (200 shareholders), you're right that using multiple SPVs could potentially bypass this limit.

Tax Implications: Different ownership structures can have varying tax implications for both the company and the individual investors. Tax laws can change over time, so it's essential to work closely with tax professionals to understand the tax implications of your chosen ownership structure.

Operational Complexity: Managing multiple SPVs for a single property can introduce operational complexities. You'll need effective mechanisms to coordinate decision-making, distribute profits, and manage the administrative tasks associated with multiple entities.

Investor Confidence: While using multiple SPVs might technically allow you to bypass the shareholder limit, potential investors might have concerns about such a structure. Clear communication about the rationale behind this structure and how it benefits investors will be important to gain and maintain investor confidence.

Transparency and Governance: Having multiple SPVs could potentially raise concerns about transparency and governance. Clearly outlining the governance structure, reporting mechanisms, and investor rights will be crucial to build trust among your investors.

Exit Strategies: Consider how exit strategies will work in a complex ownership structure. Investors will want to know how and when they can liquidate their investments if they choose to do so.

Technology Platform: Building a robust technology platform to manage investments, distribute dividends, and provide updates to investors will be essential for the success of your fractional ownership model.

Market Demand: Conduct thorough market research to gauge the demand for fractional ownership in real estate properties in India. Understand your target audience, their preferences, and their willingness to invest using this model.

Competition: Research the competitive landscape to identify potential competitors and differentiators for your startup. What will set your offering apart from others in the market?

Risk Management: Real estate investment inherently involves risk. Clearly communicate the risks associated with your fractional ownership model to potential investors and have mechanisms in place to manage and mitigate these risks.

Thanks
