I have started a freelancing which has timing different from my current organisation, as per company policy that was breach of code of conduct and then company terminated me immediately.

And now company has sent me a legal notice by asking 1.5 crore to pay them so that they do not proceed with legal action.

A.Dear Client,
When you get a freelancing job in a Company through an offer letter, then go through the condition of the said agreement that empowers the company to claim compensation for breach of code of conduct by the employee that causes financial loss or damages to the Company for the deficiency on the part of the employee. If there is no such stipulation, then they cannot claim compensation even through litigation. Sections 73 and 74 of the Indian Contract Act, 1872 provide for unliquidated and liquidated damages respectively. Unliquidated Damages are the damages awarded by the courts on the basis and assessment of actual loss or injury caused to the party suffering breach of contract. That is because every breach of every contract need not necessarily result in actual loss or damage. So without being scared with the demand of the Company that may be sent to you with ulterior motives to pressurize you to agree with their illegal and arbitrary demand, instead you need to consult an Advocate to get first-hand information on the subject and for service of a legal notice to the Company and prepare yourself mentally to face the consequences if arises seeking the service of an Advocate.
